1. Acceptance of These Terms

These Terms of Use (“Terms”) are entered into between you and Capital Depot, Inc. (“Capital Depot,” “we,” “us,” or “our”). These Terms govern your access to and use of Capital Depot’s public website, including its content, forms, features, and services offered through the website (collectively, the “Website”).

By accessing or using the Website, you accept and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not access or use the Website.

These Terms govern use of the Website only. Factoring, financing, referral, fuel-card, or other products and services may be governed by separate applications, disclosures, authorizations, agreements, and account terms. If a separate written agreement conflicts with these Terms, the separate written agreement controls with respect to the subject matter it covers.

2. Eligibility and Authority

The Website is intended for individuals who are at least 18 years old and for businesses located in the United States. By using the Website, you represent that you are legally able to enter into these Terms. If you use the Website on behalf of a business or other organization, you represent that you have authority to bind that organization.

3. Changes to the Website or These Terms

Capital Depot may revise these Terms from time to time. Changes are effective when posted unless otherwise stated. Your continued use of the Website after revised Terms are posted constitutes acceptance of the revised Terms.

Capital Depot may modify, suspend, withdraw, or discontinue any part of the Website at any time without notice. We are not liable if any portion of the Website is unavailable.

4. Website Access and Account Security

You are responsible for arranging access to the Website and for ensuring that persons who access it through your systems understand and comply with these Terms.

If the Website or a linked client service provides a username, password, or other security credential, you must keep it confidential and may not share it with another person. You must promptly notify Capital Depot of suspected unauthorized access or use. Capital Depot may disable credentials or access when reasonably necessary for security, compliance, or enforcement.

5. Permitted Use

You may use the Website only for lawful business and informational purposes and in accordance with these Terms. You may view, download, or print a reasonable number of pages for your own internal, non-commercial use, provided you do not remove copyright, trademark, or other proprietary notices.

7. Information and Documents You Provide

You represent that information, documents, images, and other materials you submit are true, accurate, current, and complete; that you have the legal right and authority to provide them; and that providing them does not violate another person’s rights or any law.

You grant Capital Depot and its service providers a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, and otherwise use submitted materials as reasonably necessary to evaluate inquiries and applications, provide services, administer accounts, comply with law, enforce agreements, and perform related business purposes. This license does not transfer ownership of your materials to Capital Depot.

Do not submit sensitive information through a general inquiry form unless the form specifically requests it. Sensitive application materials should be submitted only through the designated application or document-upload process.

8. Electronic Communications and Signatures

When you provide an email address or telephone number, submit a form, or agree to electronic communications, you consent to receive communications from Capital Depot electronically as described in the applicable form, authorization, agreement, or Privacy Policy.

Electronic records and signatures may have the same legal effect as paper records and handwritten signatures when permitted by law. Specific applications or transactions may require a separate electronic-consent disclosure.

9. SMS Terms

When you consent to receive text messages from Capital Depot, you may receive messages concerning your inquiry, application, requested services, documentation, account, funding activity, customer service, and, when separately authorized, promotional information. Message frequency varies. Message and data rates may apply.

Reply STOP to opt out of text messages. Reply HELP for assistance or contact info@capitaldepot.com. Consent to promotional text messages is not a condition of applying for or receiving services. Carriers are not responsible for delayed or undelivered messages.

Capital Depot does not sell or share mobile opt-in information, phone numbers, or SMS consent records with third parties or affiliates for their own marketing or promotional purposes.

10. Intellectual Property

The Website and its content, features, functionality, text, graphics, logos, photographs, videos, designs, software, and arrangement are owned by or licensed to Capital Depot and are protected by copyright, trademark, trade-dress, and other intellectual-property laws.

Capital Depot’s names, logos, service names, designs, and slogans may not be used without prior written permission. No right, title, or interest in the Website or its content is transferred to you. All rights not expressly granted are reserved.

The Website may contain links to third-party websites, services, applications, or resources. Links are provided for convenience only and do not necessarily imply endorsement. Capital Depot does not control and is not responsible for third-party content, availability, security, privacy practices, products, services, or terms. Website content is provided for general informational purposes and does not constitute legal, tax, accounting, investment, credit, or financial advice. You should consult appropriate professional advisers regarding your circumstances.

Submitting an inquiry or application does not guarantee approval, funding, a particular rate, availability of a product, or formation of a client relationship. Capital Depot may request additional information, verify submitted information, decline an application, or discontinue consideration as permitted by law and any applicable agreement.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. CAPITAL DEPOT DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Capital Depot does not warrant that the Website will be uninterrupted, error-free, secure, accurate, complete, current, or free of harmful components. Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAPITAL DEPOT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL ARISING FROM OR RELATED TO THE WEBSITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAPITAL DEPOT’S TOTAL LIABILITY ARISING FROM OR RELATED TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). This limitation does not apply where prohibited by law or to liability that cannot lawfully be limited.

15. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Capital Depot and its officers, directors, employees, agents, affiliates, licensors, and service providers from claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising from your violation of these Terms, unlawful use of the Website, or infringement of another person’s rights.

Capital Depot’s collection and use of personal information are described in the Privacy Policy. By using the Website, you acknowledge that you have reviewed the Privacy Policy.

17. Governing Law and Venue

These Terms and any dispute arising from the Website are governed by the laws of the State of Illinois, without regard to conflict-of-law principles. Subject to any enforceable dispute-resolution provision in a separate written agreement, any legal action relating solely to the Website or these Terms must be brought in a state or federal court located in Cook County, Illinois, and you consent to the jurisdiction of those courts.

18. Severability and Waiver

If any provision of these Terms is held invalid or unenforceable, it will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in effect. Capital Depot’s failure to enforce a provision is not a waiver of that provision or any other provision.

19. Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement between you and Capital Depot concerning use of the public Website, except for separate written agreements, disclosures, authorizations, or service terms that apply to specific products, applications, transactions, accounts, or client relationships.
