1. Introduction

Capital Depot, Inc. (“Capital Depot,” “we,” “us,” or “our”) respects your privacy. This Privacy Policy explains how we collect, use, disclose, retain, and protect information when you visit our website, submit an inquiry or application, communicate with us, become a client, or otherwise interact with our products and services.

This Policy applies to information collected through Capital Depot’s public website, online forms, applications, email, telephone, text messaging, and client-facing systems. Additional notices, authorizations, agreements, or disclosures may apply to particular applications, transactions, credit reviews, electronic signatures, banking activity, or client services.

2. Information We Collect

Depending on how you interact with Capital Depot, we may collect the following categories of information:

Contact and business information, such as your name, business name, mailing address, email address, telephone number, industry, operating history, ownership information, and information about the products or services you request.

Application and identity information (but expressly no biometric information or identifiers are ever collected by Capital Depot), such as Social Security numbers (but only if voluntarily provided by the owner), taxpayer identification numbers, Employer Identification Numbers, dates of birth, government-issued identification, ownership and guarantor information, credit authorizations, bank-account information, financial statements, tax documents, insurance information, and other information needed to evaluate an application or establish a business relationship.

Transaction and account information, such as invoices, accounts receivable, debtor or broker information, rate confirmations, proofs of delivery, funding requests, payment history, account balances, transaction history, banking information, and related documents.

Communications, including information contained in emails, telephone calls, text messages, online forms, applications, recorded calls, customer-service interactions, and other correspondence.

Website and device information, which may include IP address, browser type, device type, operating system, referring pages, pages viewed, links selected, date and time of visits, general location derived from IP address, cookie identifiers, conversion data, and website-performance or diagnostic information.

3. How We Collect Information

We may collect information directly from you; from your business, owners, employees, guarantors, or authorized representatives; through website forms, HubSpot, email, telephone, text messages, submitted documents, and the WinFactor client portal; automatically through cookies and similar technologies; and from lawful third-party sources such as credit bureaus, identity-verification providers, fraud-prevention vendors, background-screening providers, banks, business references, public records, and business-information providers.

4. How We Use Information

We may use information to:

  • Respond to inquiries and provide requested information.
  • Evaluate, process, and underwrite applications.
  • Verify identity, ownership, bank information, application details, and business information.
  • Obtain commercial or consumer credit information and conduct lawful background, fraud-prevention, and risk reviews.
  • Provide factoring and related services, establish and administer accounts, process funding requests, and manage transactions.
  • Communicate about inquiries, applications, documentation, funding, collections, accounts, and customer service.
  • Maintain business, financial, compliance, and consent records.
  • Improve our website, services, communications, and operational processes.
  • Measure website and marketing performance and support advertising where permitted.
  • Prevent fraud, protect systems, enforce agreements, comply with law, and protect Capital Depot’s rights and interests.
  • Send marketing communications where permitted and subject to applicable opt-out rights.

5. Online Inquiry and Communications Consent

When you submit an online inquiry or request information through a Capital Depot form, you authorize Capital Depot to contact you by telephone, email, and text message regarding your inquiry and the products or services you requested. Message frequency may vary. Message and data rates may apply. You may opt out of text messages by replying STOP.

Inquiry-related authorization does not by itself authorize recurring promotional text messages where separate affirmative consent is required.

6. Applications and Verification

Capital Depot’s online application may include separate certifications and authorizations concerning the accuracy of information provided, credit reports, background investigations, identity and bank-account verification, business and banking references, electronic records, electronic disclosures, electronic signatures, and communications. Those authorizations are presented at the time of application and are governed by their stated terms.

Where required, Capital Depot will obtain separate authorization before obtaining consumer reports, conducting certain background checks, initiating ACH transactions, or sending promotional text messages.

7. How We Disclose Information

Capital Depot does not sell personal information for monetary compensation. We do not disclose mobile opt-in information, phone numbers, or SMS consent records to third parties or affiliates for their own marketing or promotional purposes.

We may disclose information to service providers that perform functions on our behalf, including providers of website hosting, CRM and application processing, cloud storage, document management, electronic signatures, email, SMS, telephone services, client portals, payment processing, identity verification, credit and background screening, fraud prevention, analytics, cybersecurity, auditing, legal, accounting, and other professional services.

We may also disclose information to banks, funding sources, auditors, insurers, transaction participants, regulators, courts, law enforcement, or other parties when reasonably necessary to finance, administer, audit, secure, enforce, or protect Capital Depot’s transactions, rights, systems, or legal obligations.

Information may also be disclosed as part of an actual or proposed merger, acquisition, financing, reorganization, sale of assets, bankruptcy, or similar business transaction, subject to appropriate legal protections.

8. SMS and Text Messaging

Capital Depot uses Salesmsg and related telecommunications providers to deliver text messages. Messages may include inquiry or application updates, document requests, funding or account notifications, customer-service communications, scheduling, and promotional messages when separately authorized.

Message frequency varies. Message and data rates may apply. Reply STOP to opt out. Reply HELP for assistance or contact info@capitaldepot.com. Carriers are not responsible for delayed or undelivered messages. Consent to promotional text messages is not a condition of applying for or receiving Capital Depot’s services.

Mobile information, phone numbers, and SMS consent records may be disclosed to service providers and telecommunications vendors only as necessary to deliver, route, support, secure, or administer communications on Capital Depot’s behalf or as required by law.

9. Email Communications

Capital Depot may send service-related emails and, where permitted, marketing or follow-up emails to individuals who have submitted an inquiry or communicated with Capital Depot, including individuals who did not become clients. Marketing emails will include an unsubscribe mechanism. Even after unsubscribing from marketing, you may continue to receive non-promotional communications concerning an inquiry, application, transaction, account, legal obligation, or existing business relationship.

10. Call Recording

Capital Depot may record telephone calls through RingCentral for quality assurance, training, compliance, security, and documentation purposes. Where required by law, Capital Depot will provide notice or obtain consent before recording. Capital Depot does not currently use prerecorded or artificial-voice calls or automated dialing campaigns.

11. Cookies and Similar Technologies

Capital Depot and its service providers may use cookies, tags, pixels, local storage, analytics tools, and similar technologies to operate and secure the website, remember preferences, understand website traffic and usage, diagnose technical issues, measure conversions and advertising performance, improve content and functionality, and support advertising where permitted.

You may manage available choices through the cookie banner or Cookie Preferences link provided on the website. Blocking certain technologies may affect website functionality. The website designer is responsible for maintaining the cookie banner, preference center, and current technology inventory.

12. Third-Party Links

The website may include links to independent third-party websites or services. Information you submit directly to a third party is governed by that third party’s privacy policy and terms. Capital Depot does not control and is not responsible for the privacy, security, content, or practices of independent third parties.

13. Client Portal and Post-Onboarding Processing

After an applicant becomes a client, authorized Capital Depot personnel may manually enter necessary account information into WinFactor. Clients may use the WinFactor portal to submit loads, invoices, and supporting documents for factoring. Information may remain in HubSpot after onboarding and may also be maintained in WinFactor for account administration, funding, servicing, risk management, collection, compliance, and recordkeeping.

WinFactor is available to clients only. Capital Depot sends related client communications through its own email, telephone, and SMS systems.

14. Data Retention

Capital Depot retains information for as long as reasonably necessary to process applications, administer client relationships and transactions, maintain business and financial records, document consents and communications, prevent fraud, resolve disputes, enforce agreements, comply with legal or regulatory obligations, and protect Capital Depot’s legal interests.

Client records may be retained for at least seven years after the client relationship ends. Other information may be retained for as long as Capital Depot determines reasonably necessary, subject to periodic review and applicable law. Capital Depot may deny or limit a deletion request when retention is reasonably necessary or legally permitted.

15. Data Security

Capital Depot uses reasonable administrative, technical, and physical safeguards designed to protect information against unauthorized access, loss, misuse, alteration, or disclosure. Controls may include multifactor authentication, individual credentials, role-based access, access reviews, encryption, restrictions on sensitive information, employee confidentiality obligations, incident reporting, and vendor coordination.

Full Social Security numbers and full bank-account information are restricted within HubSpot. Access is limited to authorized underwriting and leadership personnel, while other authorized users generally see only the last four digits. Documents associated with applications and agreements may be stored in HubSpot, and signed agreements are intended to display only the last four digits of sensitive identifiers.

No website, cloud platform, transmission method, or security measure can be guaranteed to be completely secure. Capital Depot therefore cannot guarantee absolute security.

16. Privacy Rights and Requests

Depending on applicable law, you may have the right to request access to certain personal information, request correction of inaccurate information, request deletion of certain information, obtain a copy of certain information, withdraw consent where applicable, or exercise other legally available privacy rights.

Capital Depot will verify identity before processing a request and may require proof of authority from an authorized representative. Rights are subject to applicable exemptions, confidentiality obligations, record-retention requirements, fraud-prevention needs, contractual obligations, legal holds, and protections for other individuals or businesses.

17. Children’s Privacy

Capital Depot’s website and services are intended for adults and businesses. Capital Depot does not knowingly collect personal information from individuals under 18. If Capital Depot learns that it has collected such information inappropriately, it will take reasonable steps to address the matter.

18. United States Only

Capital Depot currently accepts inquiries and applications from individuals and businesses located in the United States. The website and services are not directed to users outside the United States.

19. Changes to This Policy

Capital Depot may update this Policy to reflect changes in law, technology, vendors, systems, or business practices. The revised Policy will be posted with an updated “Last Updated” date. Material changes may also be communicated through other reasonable means where appropriate.
